Finance Structuring

Structuring: Advising on the structure of the project’s financing including no, or limited, recourse/claim on the sponsors’ assets beyond the project’s (Special Purpose Vehicle) cash flows and assets.
Risk Allocation: Advising on how risks are allocated among parties, including lenders, sponsors, and contractors, to make the project financeable/bankable.
Green Finance: Advising on the use of green bonds, sustainability-linked loans, or other forms of financing geared towards environmentally sustainable projects.

Financial Documentation

Loan Documents: Drafting and negotiating long-term financing documents, including senior and subordinated loan agreements, ensuring proper risk allocation and security for lenders or borrowers.
Security: Advising on security matrix for a transaction/project. Drafting security agreements including guarantees, debentures, charges over land, equipment, pledges over shares and accounts, and assignment of rights to claim and receivables.
Intercreditor Agreements: Structuring and negotiating agreements between various lenders and creditors, ensuring clarity on rights, priority, and obligations in case of financial distress or default.
